You agree not to use this website to:

All content on this website — text, graphics, logos, design, layout and code — is the property of KEEYAS INFOTEK PTY LTD or our content suppliers, and is protected by Australian and international copyright law. You may not reproduce, republish or redistribute any content without our prior written consent. The KEEYAS INFOTEK name and logo are our trade marks.
5. Service Engagements
Any engagement for paid services will be governed by a separate written Statement of Work (SOW) or proposal signed by both parties. That SOW will set out scope, deliverables, timelines, fees, intellectual property ownership and warranty. Nothing on this website constitutes a binding offer to provide services until a SOW is signed.
Estimates, timelines and pricing displayed on this website are indicative only and do not form part of any contract unless expressly incorporated into a signed SOW.
6. Fees and Payment
Fees for services are set out in the applicable SOW. Unless otherwise agreed, invoices are payable within 14 days of issue. Where a project is quoted on a fixed-price basis, the fixed price covers the scope described in the SOW; changes to scope will be agreed and priced separately in writing.
We may charge interest on overdue amounts, and may suspend work where invoices remain unpaid beyond agreed terms. Goods and services tax (GST) applies where required by Australian law.
7. Client Obligations
To allow us to deliver services efficiently, you agree to:
- Provide timely access to the systems, data and personnel reasonably required for the work;
- Ensure that any information you provide is accurate and that you hold the necessary rights to it;
- Maintain your own backups of data and systems where a project involves migration or integration;
- Appoint a single point of contact with authority to make decisions on the project.
8. Confidentiality
Each party agrees to keep confidential the other party's non-public information disclosed in the course of an engagement, including business, technical and financial information, and not to disclose it to any third party except as required by law or as necessary to perform the services. This obligation survives the end of the engagement.
9. Deliverables and IP Ownership
Unless otherwise stated in the SOW, on full payment of all fees, ownership of custom software source code, database schema and documentation developed for you transfers to your business. We retain ownership of our pre-existing tools, libraries and know-how, which we license to you for the purpose of using the deliverables.
10. Warranties
We warrant that services will be performed with reasonable care and skill. To the extent permitted by law, all other warranties, whether express or implied, are excluded. We do not warrant that third-party software, platforms or services supplied by others are free from defects.

For any engagement, our total aggregate liability is limited to the fees paid under the relevant SOW. Nothing in these terms excludes any rights you have under the Australian Consumer Law that cannot be excluded by law.
13. Indemnity
You agree to indemnify and hold harmless KEEYAS INFOTEK PTY LTD against any loss, claim or expense arising from your breach of these terms, your misuse of this website, or your infringement of any third-party rights in connection with your use of the site.
